Terms & Conditions (B2B)

§ 1 Scope (Exclusively B2B)

(1) These Terms and Conditions apply to all contracts, deliveries, and other services of Elyson Sweets GmbH i.G.

(2) Our offer is directed exclusively at entrepreneurs within the meaning of § 14 BGB, legal entities under public law, or special funds under public law. Sale to consumers (§ 13 BGB) is excluded. The statutory right of withdrawal for consumers therefore does not apply.

§ 2 Prices and Payment Terms

(1) All prices stated on the website are net prices plus statutory VAT.

(2) Shipping costs are charged separately. The purchase price is due immediately upon invoicing.

§ 3 Retention of Title

The delivered goods remain the property of Elyson Sweets GmbH i.G. until all outstanding claims from the business relationship have been paid in full.

§ 4 Duty to Inspect and Give Notice of Defects (§ 377 HGB)

(1) The buyer is obligated to inspect the delivered goods immediately upon receipt.

(2) Obvious defects, transport damage, or shortages must be reported in writing to Elyson Sweets GmbH i.G. no later than 48 hours after delivery. If no timely notice is given, the goods shall be deemed approved.

§ 5 Place of Performance and Jurisdiction

(1) The place of performance for delivery and payment is the registered office of Elyson Sweets GmbH i.G. (Cologne).

(2) The place of jurisdiction for all disputes is the court responsible for the company's registered office in Cologne. German law applies.
